Affiliate Program Terms & Conditions

1. Introduction

Welcome to the Hello Again Affiliate Program (“Affiliate Program”). These Terms and Conditions (“Agreement”) govern the participation of individuals and entities (“Affiliate” or “you”) in promoting Hello Again’s products and services. By enrolling in our Affiliate Program, you agree to comply with and be bound by the terms set forth herein.

2. Eligibility

2.1 Minimum Age Requirement: You must be at least 21 years old to participate in the Hello Again Affiliate Program.

2.2 Application Process: Prospective affiliates must complete and submit the online application form. Hello Again reserves the right to approve or reject any application at its sole discretion.

2.3 Account Maintenance: Affiliates are responsible for ensuring that their account information is accurate and up to date.

3. Affiliate Responsibilities

3.1 Promotion: Affiliates may promote Hello Again products using their unique affiliate links on websites, blogs, social media, or other approved channels (“Affiliate Links”).

3.2 Prohibited Actions: Affiliates may NOT engage in spamming or unsolicited communications, misrepresent Hello Again products or make false claims, use paid advertising methods that compete with Hello Again’s own marketing efforts, including bidding on Hello Again-branded keywords, or promote Hello Again products on websites that contain offensive or illegal content.

4. Commissions and Payments

4.1 Commission Rate: the Affiliate will earn an 8% commission on the net sales value of products purchased through their Affiliate Links (“Commission”).

4.2 Cookie Duration: The Affiliate Link utilizes a 180-day cookie period. If a Customer purchases within 180 days of clicking an Affiliate Link, the Affiliate is eligible for a commission.

4.3 Payment Schedule: Commissions are calculated monthly and paid within 30 days of the end of each month.

4.4 Payment Method: Payments will be made via bank transfer. Affiliates are responsible for providing accurate banking details.

4.5 Refunds and Chargebacks: Commissions will not be paid on refunded or charged-back sales. If a commission has already been paid for a refunded order, the amount will be deducted from future commissions.

5. Intellectual Property

5.1 License: Hello Again grants Affiliates a non-exclusive, revocable license to use Hello Again’s trademarks, logos, and approved marketing materials solely to promote Hello Again products within the scope of this Agreement.

5.2 Restrictions: Affiliates may not modify Hello Again’s trademarks or use them in a manner that is deceptive or harmful to Hello Again’s reputation.

6. Confidentiality

Affiliates agree to keep confidential any non-public information disclosed by Hello Again during the course of the Affiliate relationship and not to use such information for any purpose other than the performance of this Agreement.

7. Term and Termination

7.1 Term: This Agreement begins upon Hello Again’s acceptance of the Affiliate’s application and continues until terminated by either party.

7.2 Termination: Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.

7.3 Effect of Termination: Upon termination, the Affiliate must cease all promotional activities related to Hello Again and remove any Affiliate Links from their platforms. Any accrued but unpaid commissions will be paid in the next payment cycle, provided they meet the minimum payout threshold.

8. Limitation of Liability

Hello Again is not liable for indirect, incidental, or consequential damages from this Agreement or the Affiliate Program. Hello Again’s total liability shall not exceed the commissions paid or payable to the Affiliate under this Agreement.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

10. Amendments

Hello Again reserves the right to modify these Terms and Conditions anytime. Affiliates will be notified of significant changes via email or the Affiliate Dashboard. Continued participation in the Affiliate Program constitutes acceptance of the revised terms.

11. Miscellaneous

11.1 Independent Contractors: Both parties are independent contractors, and nothing in this Agreement creates a partnership, employment, or joint venture relationship.

11.2 Assignment: Affiliates may not assign their rights or obligations under this Agreement without Hello Again’s prior written consent.
